1. The Province of Ontario has introduced a revamped Business Registry, leading to notable alterations in how corporation information is accessed and the method for submitting annual information returns in Ontario. These modifications predominantly affect incorporated physicians, especially concerning the privacy and protection of sensitive data that’s now publicly accessible via the new Ontario business registry platform. Key Points about the Ontario Business Registry: 
    • Scope of the Registry: All entities, whether they’re registered, incorporated, or have a license to operate in Ontario, are mandated to consistently update their details with the provincial government. 

     

    • Search Functionality: The newly inaugurated “Search the Registry” feature allows anyone to search using a physician’s surname. This search will yield results showing the “registered address or head office” of the physician’s corporation. If a physician has listed their residential address as the “registered address or head office,” this data will be displayed in the search outcome. 

     

    • Previous System: Before this overhaul, acquiring similar details necessitated a “Business Corporation Profile” request. This process involved navigating a third-party site, providing the corporation’s legal name, and paying a fee. 

     

    • Recommendation for Physicians: Given the ease with which the public can now access the “registered address or head office” details, it’s advisable for physicians to revise or alter this information to exclude any home office data from the public directory. For updating this data, physicians can refer to the instructions on the new Ontario Business Registry site under the section “Access your existing business or not-for-profit corporation” or use Form 1, titled Initial Return/Notice of Change. 

     

    Changes Pertaining to Annual Information Returns: 

    • Filing Timeline: An Ontario annual information return must be submitted within a six-month window following the conclusion of each fiscal year. 

     

    • New Filing Method: With the recent updates, corporations are now required to submit their annual returns via the Ontario Business Registry. Detailed instructions for this can be found under the “Annual returns” section. 
    • Previous Procedure: Before these changes, the Ontario annual information return was incorporated as a segment of the T2 – Corporate Income Tax Return (specifically, Form Schedule 546, Corporations Information Act Annual Return for Ontario Corporations). 

     

    • Important Date: Corporations that have their annual return due post-October 18, 2021, need to file their returns directly through the Ontario Business Registry. This means the updated filing procedure is mandatory for corporations whose tax year concludes on or post-April 30, 2021.
